The Subscription to NRG Models’ Software as a Service (SaaS) consisting of the web based PreVisions software tool listed in Appendix B of this Agreement (here commonly referred to as the "Licensed Materials"), by the named Licensed User (the person who the License Key has been issued to) and the company the Licensed User is representing (here commonly referred to as the "Licensee"), is governed by the following “Terms & Conditions”. By the signature of this Agreement and/or clicking “Accept” when entering the Licensed Materials online for the first time, Licensee is confirming Licensee’s agreement to all of the Terms & Conditions.
Subscription and Access. Content and Effective Date of the Subscription is provided in Appendix B. To access the Licensed Materials, Licensee must established a personal login to get access to PreVisions, provided that the computer is connected to the Internet. The login and access is controlled by the License Key
Use of the Licensed Materials. All ownership rights in the Licensed Materials, including any and all intellectual property rights, included but not limited to the copyright and title and knowhow to the Licensed Materials, and any trademarks relating thereto remain with NRG Models. All rights not expressly granted are reserved.
Licensee may;
Use all results provided by the Licensed Material for inclusion in Licensee’s own work, reports, evaluations and analyses, such as in spread-sheets, presentations, or the like, for the Licensee’s internal business purposes.
Except as outlined above, Licensee shall not sell any information or content provided by Licensed Materials.
NRG Models’ Responsibilities. NRG Models shall utilize its best commercial efforts to provide the Licensed Materials on a 24/7 basis. Subject to the foregoing, NRG Models shall not be liable for losses or damages Licensee may incur due to any errors or interpretations of results provided by the Licensed Materials.
NRG Models will offer reasonable levels of continuing user support included in the Subscription Fee. Manual support is available by e-mail or phone for feedback, problem-solving or questions related to use of Licensed Materials (manned CET 09.00-17.00)Lei Aplicável e Foro. O presente Contrato será regido e interpretado de acordo com as leis da Dinamarca. As partes concordam que o tribunal de Copenhagen, na Dinamarca, é o foro para quaisquer conflitos nos termos do contrato.
Licensee Responsibilities. In using the Licensed Materials, Licensee agree to:
(1) not violate or attempt to violate the security of Licensed Materials;
(2) not reverse engineer or disassemble any portion of the Licensed Materials;
(3) maintain the confidentiality of Username(s) and Password(s) providing access to Licensed Materials, and is fully responsible for all activities that occur under Licensee’s password(s) and username(s).)
Price terms. Price terms for the Licensed Materials are provided in Appendix B. Prices are subject to annual price adjustments, minimum as per relevant consumer price index or other as specified in Appendix B
Confidentiality assurance. NRG Models will not track or store information about Licensee’s input, or in any way disclose information about how the Licensed Materials are used. NRG Models will not use Licensee’s for any marketing purposes without prior approval, but Licensee’s name may appear on customer lists which NRG Models may use for reference purposes.
Termination. The subscription runs in recurring 3 months periods, unless otherwise specified in Appendix B, until terminated by any of the parties. NRG Models will notify Licensee 30 days prior to expiry of current period. If NRG Models believes that Licensee materially has breached any obligations under the Terms & Conditions, NRG Models shall have the right in its sole discretion to terminate Licensee’s ability to access the Licensed Materials by giving prior written notice to Licensee of breach. Licensee has 5 working days to cure the specified breach, but if it remains uncured at the end of this time, NRG Models may then terminate this Agreement. NRG Models reserves the right to block Licensee’s access to the Licensed Materials during the 5 days period.
Warranties. NRG Models warrants that it has the right to license the rights granted under these Terms & Conditions, that it has obtained any and all necessary permissions from third parties to license the Licensed Materials, and that use of the Licensed Materials in accordance with the Terms & Conditions shall not infringe the intellectual property rights of any third party.
NRG Models will defend Licensee, and subject to clause 9, hold harmless Licensee against any allegations that the Licensed Materials as such infringe the intellectual property rights of any third party, that NRG Models does not have the right to license the rights granted under these Terms & Conditions as such, or that it has not obtained any necessary permissions from third parties to license the Licensed Materials as such. The above warranty clause does not apply where Licensee has altered the Licensed Materials in any way whatsoever.
Disclaimers and Limitations. Subject to clause 8, the Licensed Materials and information provided on it are provided "as is" without warranties of any kind, either express or implied. The Licensed Materials may be added to, modified, or partly deleted, and/or migrated to other formats at NRG Models’ sole discretion. NRG Models expressly disclaims any and all legal liability or responsibility for the accuracy, completeness or fitness for a particular purpose, or for the usefulness of any information used provided by the Licensed Materials.
NRG Models shall, to the fullest extent permitted by law, under no circumstance, be liable for any or indirect, special, incidental, punitive or consequential loss or damages, including but not limited to loss of data, business interruption, or loss of profits, arising out of the Licensee’s use of, or inability to use the Licensed Materials. If this limitation of liability or the exclusion of warranty set forth above is held inapplicable or unenforceable for any reason, NRG Models’ maximum liability for any type of damages shall be limited to the amount equal to one standard, 3 month site entry subscription fee for one user.
Governing Law and legal venue. This Agreement shall be interpreted and construed according to, and governed by, the laws of Denmark. The parties agree that the court of Copenhagen, Denmark is legal venue for any disputes under the agreement.

Assinatura e Acesso. O Conteúdo e a Data de Vigência da Assinatura são fornecidos no Anexo B. Para acessar os Materiais Licenciados, a Licenciada deve cadastrar um login pessoal para obter acesso à PreVisions, desde que o computador esteja conectado à Internet. O login e o acesso é controlado pela Chave de Licença.
Uso de Materiais Licenciados. Todos os direitos de propriedade dos Materiais Licenciados, incluindo todos os direitos de propriedade intelectual, incluindo, entre outros, os direitos autorais, títulos, know-how e quaisquer marcas relacionadas a eles são propriedade da NRG Models. Todos os direitos não expressamente concedidos são reservados.
A Licenciada poderá:

Salvo descrito acima, a Licenciada não deverá vender qualquer informação ou conteúdo fornecido pelos Materiais Licenciados.
Responsabilidades da NRG Models. A NRG Models envidará seus melhores esforços comerciais para fornecer os Materiais Licenciados 24 horas por dia, 7 dias por semana. Sujeita ao precedente, a NRG Models não será responsável por perdas ou danos que a Licenciada possa incorrer devido a quaisquer erros ou interpretações de resultados fornecidos pelos Materiais Licenciados.
A NRG Models oferecerá níveis razoáveis de assistência contínua ao usuário, incluída na Taxa de Assinatura. (3) manter a confidencialidade de Nome(s) de Usuário e Senha(s) que fornecem acesso aos Materiais Licenciados, e ser plenamente responsável por todas as atividades que ocorrem durante o uso de sua(s) senha(s) e nome(s) de usuário.
Termos de preço. Os termos de preço para os Materiais Licenciados são fornecidos no Anexo B. Os preços estão sujeitos a ajustes anuais, mínimo de acordo com o índice de preços ao consumidor relevante ou outro conforme especificado no Anexo B.
Garantia de confidencialidade. A NRG Models não rastreará ou armazenará informações da Licenciada, ou de forma alguma divulgará informações sobre como os Materiais Licenciados são utilizados. Suspensão. A assinatura ocorre em períodos recorrentes de 3 meses, salvo especificado de outra forma no Anexo B, até que seja suspensa por qualquer uma das partes. A NRG Models notificará a Licenciada 30 dias antes do término do período atual. Caso a NRG Models acredite que a Licenciada violou significativamente quaisquer obrigações sob os Termos e Condições, a NRG Models terá o direito, a seu critério exclusivo, de suspender o acesso da Licenciada aos Materiais Licenciados, mediante notificação prévia por escrito da violação à Licenciada. A Licenciada terá 5 dias úteis para corrigir a violação especificada, mas se permanecer não corrigida até o final deste período, a NRG Models poderá rescindir este Contrato. A NRG Models se reserva o direito de bloquear o acesso da Licenciada aos Materiais Licenciados durante o período de 5 dias.
Garantias. A NRG Models garante que tem o direito de licenciar os direitos concedidos nestes Termos e Condições, que obteve todas as licenças necessárias de terceiros para licenciar os Materiais Licenciados, e que o uso dos Materiais Licenciados, de acordo com os Termos e Condições, não violará os direitos de propriedade intelectual de qualquer terceiro.
A NRG Models defenderá a Licenciada, e sujeita à cláusula 9, a isentará contra quaisquer alegações de que os Materiais Licenciados violam os direitos de propriedade intelectual de terceiros, que a NRG Models não tem o direito de licenciar os direitos concedidos nestes Termos e Condições como tais, ou que não obteve quaisquer licenças necessárias de terceiros para licenciar os Materiais Licenciados como tais. A cláusula de garantia acima não se aplica quando a Licenciada altera os Materiais Licenciados de qualquer forma.
Renúncias e Limitações. Sujeitos à cláusula 8, os Materiais Licenciados e as informações são fornecidos “no estado em que se encontram”, sem garantias de qualquer tipo, expressas ou implícitas. Os Materiais Licenciados podem ser adicionados, modificados ou parcialmente apagados e/ou transferidos para outros formatos a critério exclusivo da NRG Models. A NRG Models isenta-se expressamente de toda responsabilidade legal ou responsabilidade pela precisão, integridade ou adequação a um propósito específico, ou pela utilidade de qualquer informação fornecida pelos Materiais Licenciados.
A NRG Models não será, sob nenhuma circunstância, na medida máxima permitida por lei, responsável por qualquer indenização por perda ou dano indireto, especial, incidental, punitivo ou consequencial, incluindo, entre outros, perda de dados, interrupção de negócios, lucros cessantes decorrentes do uso ou da incapacidade de uso dos Materiais Licenciados pela Licenciada. Se essa limitação de responsabilidade ou exclusão de garantia estabelecida acima for considerada inaplicável ou inexequível por qualquer motivo, a responsabilidade máxima da NRG Models por qualquer tipo de dano será limitada ao valor igual a uma taxa padrão de assinatura de 3 meses no site para um usuário.
Lei Aplicável e Foro. O presente Contrato será regido e interpretado de acordo com as leis da Dinamarca. As partes concordam que o tribunal de Copenhagen, na Dinamarca, é o foro para quaisquer conflitos nos termos do contrato.
